3. Project Proposals & Statements of Work
Each engagement begins with a written project proposal that defines: project scope and deliverables, timeline and milestones, pricing and payment schedule, revision allowances, and acceptance criteria. The proposal becomes a binding agreement once signed or confirmed in writing by both parties.
4. Payment Terms
- Invoices are issued as per the payment schedule defined in the project proposal.
- Payment is due within 14 calendar days of invoice date unless otherwise specified.
- Late payments may incur a 2% monthly interest charge on the outstanding balance.
- All prices are exclusive of applicable taxes (VAT), which will be charged in addition where required by law.
- Work on subsequent project phases may be paused if payment is overdue by more than 14 days.
5. Intellectual Property
Upon full payment, BrandMessageFlow assigns to the client all intellectual property rights in the delivered copywriting and content materials. This includes the right to use, modify, reproduce, and distribute the deliverables without restriction. BrandMessageFlow retains the right to display work in its portfolio unless the client objects in writing.
6. Revisions & Modifications
Each project proposal specifies the number of revision rounds included. Additional revision rounds beyond the agreed scope will be billed at the rate specified in the proposal. Revisions must be requested within 14 calendar days of deliverable submission; otherwise, the deliverable is deemed accepted.
7. Confidentiality
BrandMessageFlow agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and unpublished content shared by the client. This obligation survives the termination of the engagement for a period of 24 months. The same confidentiality obligation applies to client information shared by BrandMessageFlow.
8. Limitation of Liability
BrandMessageFlow's total aggregate liability under any project shall not exceed the total fees paid by the client for that specific project. BrandMessageFlow shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
9. Termination
Either party may terminate a project with 14 calendar days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Deliverables completed and paid for remain the property of the client under the intellectual property terms outlined above.
10. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Italy. Any disputes arising from these terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Genoa, Italy.

3. Milestone-Based Payments
For projects structured around milestones, payments are due upon completion and delivery of each milestone. If the revised deliverable still does not meet the agreed criteria after two revision attempts, the client may request a partial refund for that specific milestone.
4. Full Project Refunds
A full refund of payments made (excluding non-refundable deposits) may be issued under the following circumstances:
- BrandMessageFlow fails to deliver any work product after payment has been received.
- The project is cancelled by BrandMessageFlow for reasons other than client breach.
- Material misrepresentation of capabilities at the time of engagement.
5. Cancellation by Client
If a client wishes to cancel a project after work has commenced:
- Before any deliverables: 75% of the deposit is refundable.
- After partial delivery: Payment for completed and delivered milestones is non-refundable. Any prepaid amounts for undelivered milestones will be refunded in full.
- After full delivery: No refund is available for completed work that has been delivered and accepted.
6. Refund Process
To request a refund, the client must submit a written request to [email protected] within 14 calendar days of the relevant invoice date or deliverable. Refund requests will be reviewed within 5 business days. Approved refunds will be processed within 14 calendar days using the original payment method.
7. Dispute Resolution
In the event of a disagreement regarding refund eligibility, both parties agree to first attempt resolution through direct communication. If a resolution cannot be reached within 14 business days, either party may propose mediation through an independent third party.
